Biography

Founding member of ROCA. Leads the most important cases and coordinates strategies with the respective ROCA leaders. His career began before receiving his doctorate in law from the first rung working as a paralegal and assisting indigent prisoners in their criminal defense in a non-profit foundation, achieving the acquittal, freedom or discharge of all his defendants. After an intense activity dominated by litigation and enforcement proceedings, in recent years he has focused on a general practice, spending a greater proportion of time on corporate matters, supplying, integrating and advising the different disciplines of ROCA. Participating in complex commercial and financial transactions, assisting national and international clients in restructuring, M&A, conflicts and disputes, foreign investment, restructuring, contracts of various natures. He also advises on tax, labor, medical practice, civil and white-collar crime issues. His practice ranges from banking, finance and securities markets, to arbitration and intellectual property.


Among his remarkable experiences are his assistance to the largest foreign and national fund, led by First City, Quantum and UBS London Branch for the acquisition and realization of the distressed assets that survived the largest bank failure recorded in the DR. He has served for 24 years providing advice and in the defense of Scotiabank, the main bank of foreign origin based in the Dominican Republic, including co-direction in the prosecution of criminal actions, fully achieving the conviction of all those arrested by the Dominican authorities.


Advised and represented an international fund led by Amzak Capital Management and Inversiones Bahía in the acquisition of Tricom, Telecable Nacional and other affiliated companies that were finally merged, after exhausting a restructuring under Chapter 11 in New York and fighting in administrative instances filed with the Dominican Telecommunications Institute (INDOTEL). Completed this M&A under a single corporation (TRICOM), lead its cleanup and reorganization of all its litigation, labor, intangible and corporeal asset contingencies and its corporate reorganization to achieve its subsequent sale to Orange.
Advised the entire contractual framework for Mercofact, the first electronic market for factoring established in the Dominican Republic for private offers. After assisting in the incorporation and investment of Communite to Connect (C2C), a company governed under the special free zone regime, I organized its private placement of obligations.


On behalf of Telecom Infrastructure Holdings Limited, he assisted in the structuring of Teletower Dominicana, the first corporation for telecommunications towers in the DR, leading their demands for constitutional rights to face the frivolous actions that tried to prevent the first acquisitions of their first telecommunications towers, subsequently facilitating its sale Phoenix International.


Member since its incorporation and current Chairman of the Legal Committee of the American Chamber of Commerce (AMCHAMDR), created after the signing of DR-CAFTA for the adaptation of the legal framework of the DR. He has collaborated in important legal reforms, such as the law for the implementation of DR-CAFTA, the new arbitration law and Movable Guarantees, among other contributions. Actively participates as a member in some of the most important special commissions, such as for the Digital Media Law draft, the AMCHAMDR Investor’s Guide, Asset Forfeiture draft, Foreign Investment draft, Digital Tax Force and as an ex officio member of the commissions for Civil and Commercial Affairs, Regulated Sectors, Real Estate Affairs, Fiscal and Tax Affairs.


He was a member for 17 years and past vice president of the Board of Directors of the Dominican Development Foundation (FDD), a non-profit institution formed by the leadership of the Dominican business community to combat poverty by promoting work. He advises numerous charities, including Buckner Dominicana, Joni and Friends, FDD, the Latin American Association for Infection Control (ASLACI) and the Ministry of Integrity and Wisdom. He is currently a legal advisor and a member of the Financial and Compliance Committee, as well as the Board of Directors of the International Baptist Church (IBI).


It provides continuous collaboration with important studies and distinguished foreign colleagues. Supervised and led, on behalf of an international consortium, the investments made in Haiti. He has led legal matters of different kinds in other Caribbean Antilles, as well as different acquisitions in investments in the free zone sector. His commercial practice encompasses intense activity in commercial companies, representations, tax advice, labor law, franchises and other acts of commerce. In civil matters, he has served in the constitution and advice of industrial associations, numerous non-profit foundations, wills, reorganization of assets, status and capacity of persons, civil acts and intense contractual activity. He has served as an advisor for foreign and national investment in important agricultural and industrial projects.
